Bylaws


Article I – Name and Purpose
The North Las Vegas Alliance for Home Owners Associations and Concerned Citizens (informally known as the North Las Vegas Alliance or NLVA), a non-profit Nevada incorporated organization, was created to expedite communication flow between North Las Vegas citizens and home owners associations, the leadership and city departments of the City of North Las Vegas, and developers and service providers within North Las Vegas. This organization is not affiliated with the City of North Las Vegas. It is a non-partisan grass roots organization created by citizens of North Las Vegas.

Article II – Membership
Membership shall consist of citizens/residents or person(s) or entity(s) with interests/concerns in and for the City of North Las Vegas, Nevada.

Article III – Meetings
1. Meetings shall normally be held on the second Tuesday of each month, commencing at 6:00 PM local time and normally last for approximately one hour.
2. The President of Vice President of the NLVA may schedule special meetings.
3. Notice of meetings shall be posted on the NLVA Website at www.nlvalliance.com.
4. A quorum of at least a majority of the NLVA Officers must be present before business can be transacted or motions made or passed.

Article IV – North Las Vegas Alliance Board of Officers
The NLVA Board of Officers shall consist of a President, Vice President, Secretary, Treasurer, and one other Director. The Board is responsible for overall policy and direction of the NLVA.
1. In order to volunteer, be selected, or be elected to hold the distinctive position as an NLVA Officer, said individual must be a citizen/resident of North Las Vegas for a minimum of one year.
2. Officers of the NLVA Board must receive a majority of the vote of members voting in an election. Elections will be held at a special election meeting using secret paper ballots for contested positions or by a consensus majority vote by show of hands for an uncontested position.
3. Officers shall hold office for a term of one calendar year.
4. No one individual will hold more than one Board position.
5. Officers and Duties:
a. President – Shall convene regularly scheduled meetings, shall preside or arrange for other members of the Board to preside at each meeting in the following order: Vice President, Secretary, and Treasurer.
b. Vice President – Will chair committees on special subjects as designated by the Board.
c. Secretary – Shall be responsible for keeping records of Board Actions, including overseeing the taking of minutes at all NLVA meetings, sending out meeting announcements and communicating with the Website Coordinator for posting of information to the website, distributing copies of minutes and agenda to Board Officers, and assuring NLVA records are maintained.
d. Treasurer – Shall make a report at each NLVA Meeting. The Treasurer shall chair the finance committee, assist in the preparation of the budget, help develop financial planning for the NLVA, and make financial information available to Board Officers and NLVA members.
e. Board Director – This Officer will participate as a full voting member of the NLVA Board.
6. When a vacancy on the Board exists, nominations for new Board Officers may be received by the President or presiding Officer at the start of the next NLVA monthly meeting. If there is only one nominee for a position, an immediate show of hands consensus vote as described in Article IV section 2 will be held and the new Board member will be elected. If there is more than one nominee or the nominee fails to be elected by a consensus present, than a special meeting will be held at the next monthly meeting as described in Article IV section 2.
7. Resignation from the Board must be in writing and received by the President, Vice President, or Secretary. A Board Officer may be removed for excessive unexcused absences (3 in a one year period) from NLVA Meetings. A Board Officer may be removed by a ¾ vote of the remaining Board Officers for other reasons, generally including conflicts of interest and inappropriate behavior.

Article V – Committees
The Board may create committees as needed. The committee appoints its own chair person.

Article VI – Amendments
These bylaws may be amended when necessary by a 2/3 majority vote of the Board. Proposed amendments must be submitted to the Secretary and included on the agenda and a copy of the amendments must be sent to the membership before a Board vote can be held.
